Terms & Conditions for Vendor Registration

1. Introduction

Welcome to Prgenix Vendor Registration. By registering as a vendor, you agree to be bound by these Terms & Conditions. If you do not agree, do not proceed with registration.

2. Eligibility

• Be legally capable of entering into binding contracts.
• Provide accurate and complete information during registration.
• Comply with all applicable local, state, and national laws.

3. Registration and Approval

• Submission of the vendor registration form does not guarantee approval.
• Prgenix reserves the right to approve, reject, or remove any vendor at its sole discretion, without obligation to disclose reasons.
• Vendors must update their information promptly if there are any changes.

4. Vendor Obligations

• Provide services/products as agreed with the highest quality standards.
• Maintain all required licenses, permits, and certifications.
• Adhere to compliance requirements related to the specific project or industry.
• Follow ethical business practices.

5. Non-Exclusive Relationship

Registration does not establish an exclusive relationship. Prgenix may engage with multiple vendors for similar services/products.

6. Confidentiality

• Vendors must maintain the confidentiality of any proprietary information received.
• Unauthorized sharing or use of confidential information will result in immediate termination and possible legal action.

7. Intellectual Property

Any materials, logos, or content provided by Prgenix remain the sole property of Prgenix. Vendors may not use Prgenix branding without explicit written permission.

8. Termination

• Prgenix reserves the right to terminate vendor registration at any time, with or without cause.
• Vendors may also request deregistration by submitting a formal written notice.

9. Limitation of Liability

Prgenix is not liable for any direct, indirect, incidental, or consequential damages resulting from vendor dealings. Vendors engage at their own risk and responsibility.

10. Modifications

Prgenix may modify these Terms & Conditions at any time. Updated terms will be posted on the registration platform or notified via email. Continued registration implies acceptance of the new terms.

11. Governing Law

These Terms are governed by and construed under the laws of the U.P., Republic of India.
